This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, referred to herein as "Licensee," "You," or "Your") and the software provider for the ChromeSpy Employee Monitoring Browser Extension software product, which includes computer software, associated media, printed materials, and online or electronic documentation ("Software"). By purchasing, downloading, installing, copying, or otherwise using the Software, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to the terms of this EULA, do not purchase, install, or use the Software. 1. Grant of License Subject to your compliance with the terms of this EULA, Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software on Company-issued devices for internal business purposes only. 2. Restrictions on Use You acknowledge that the Software is intended solely for monitoring work-related activities to evaluate employee productivity, security, and compliance with Company policies. You expressly agree NOT to: Use the Software to monitor private communications that are clearly unrelated to work. Use the Software for any non-work-related surveillance of personal behavior. Install the Software on personal devices not owned or controlled by the Company. Modify, reverse engineer, decompile, or disassemble the Software, except for adjusting the following settings: License Key, Telegram Token ID, Telegram Chat ID, XMPP/Jabber account details, extension name, and icons. 3. Data Collection and Use The Software may collect data related to device and browser usage. You agree that any data collected by the Software shall be used only for legitimate business purposes, which are strictly limited to: Detecting and investigating security incidents. Preventing unauthorized data leakage. Ensuring and evaluating employee productivity. Investigating potential violations of Company policies. The Licensee (the Company) is solely responsible for complying with all applicable privacy and employment laws in its jurisdiction, including but not limited to informing employees about the monitoring, the extent of data collection, and the purposes for which it is used. 4. Intellectual Property The Software, including its code, structure, and all intellectual property rights therein, is and remains the exclusive property of the Licensor. This EULA grants you a license to use the Software but does not convey any ownership rights. 5. Confidentiality The data collected by the Software is the property of the Licensee (the Company). The Licensor shall treat any such data accessed during the provision of support services as confidential and shall not use or disclose it except as necessary to provide the Software or as required by law. 6. Disclaimer of Warranties THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 7. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 8. Termination This EULA is effective until terminated. Your rights under this license will terminate automatically without notice from the Licensor if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies. 9. Entire Agreement This EULA constitutes the entire agreement between the parties concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations.
